Terms of Service
Effective: 17 September 2026
Last updated: 29 October 2026
These terms govern the use of Manifold, the inventory, order, purchasing and customer-relationship platform provided at getmanifold.io and as an app for Shopify, by Bam Sock Pow Pty Ltd (ABN 53 165 151 708) ("Manifold", "we", "us"). By creating an account, installing the Shopify app or using the service you agree to them on behalf of yourself and, where you act for one, the business you represent.
Manifold is a business tool offered to merchants and their staff. It is not offered to consumers, and you confirm that you are using it in trade or commerce, that you are at least 18, and that you have authority to bind the organisation you set up or join.
1. Accounts and organisations
- Your account identifies you personally. Keep your password and passkeys to yourself; you are responsible for what is done under your sign-in until you tell us it has been compromised.
- An organisation is the workspace that holds a merchant's data. The person who creates it is its owner. Owners and administrators control who is a member, what each member may do (their jobs), which Shopify stores are connected and which AI agents may act in it. Members act within the permissions they were granted, and each change is recorded against the person who made it.
- You are responsible for your organisation's data: for having the right to put it in Manifold (including your customers' personal information), for its accuracy, and for how the people and agents you authorise use it. Our Privacy Policy explains how we handle it and what we do on your behalf.
- Support access. Our platform administrators may act as a user of your organisation to investigate a problem you have raised or a security concern. Every change made that way is stamped with the administrator's identity in your organisation's record.
2. Acceptable use
You must not:
- use Manifold to break the law, or to hold data you have no right to hold;
- attempt to reach another organisation's data, probe or disrupt the service, or circumvent its access controls;
- resell or sublicense access to the service, or use it to build a competing product;
- send abusive traffic (for example, unbounded automated requests) that degrades the service for others;
- upload malicious files, or use the file store for anything other than documents and images belonging to your catalogue;
- connect a Shopify store, a Slack workspace or an AI agent you are not authorised to connect.
We may suspend an account or organisation that breaches this section, after notice where the circumstances allow it.
3. Shopify and Slack
If you install Manifold from the Shopify App Store or otherwise connect a Shopify store, your use of Shopify remains subject to Shopify's own terms and policies. You authorise us to read and write the store data covered by the scopes you grant (orders, products, fulfilments, locations and inventory), to act on the webhooks Shopify sends us, and to respond to Shopify's privacy webhooks as described in our Privacy Policy. Uninstalling the app disconnects the store and deletes the access token; the organisation and its records remain until you close them.
If you add the Manifold app to a Slack workspace, your use of Slack remains subject to Slack's own terms and policies, and you confirm that you may install apps into that workspace. Each person who links their Slack user to their Manifold account authorises Manifold to answer them in Slack with what their access in Manifold allows; a summary of a Manifold link pasted into a channel is visible to everyone in that channel, so paste a link only where everyone in the channel may see what it shows. Uninstalling the app, in Manifold or in Slack, ends every link and deletes the app's access token; the organisation and its records remain until you close them.
4. AI agents
An organisation may authorise an AI agent to act in it through the Manifold MCP server. The agent acts as the person who granted it access, with that person's permissions, and everything it does is that organisation's responsibility exactly as if the person had done it. Review what an agent is doing and revoke its access under Settings › Agents whenever you wish. We are not responsible for the conduct or output of an agent operated by you or by a third party.
5. Your data
- Ownership. Your organisation's data is yours. We claim no rights in it beyond the licence to host, process, back up and display it needed to provide the service.
- How it is kept. Manifold records every change as a permanent fact in an append-only journal. Business records are corrected by recording a new fact, not by editing history. Personal details in the CRM are sealed under a per-person key that is destroyed on erasure, so erasing a person makes their details permanently unreadable while your history stays intact. The Privacy Policy describes this in full.
- Export. You can export your catalogue, stock, orders, purchases and people as CSV from the admin at any time.
- On termination. After an organisation is closed, we delete its journal, projections, files and indexes on the owner's request within 30 days, subject to backups that expire within 14 days after that. Export what you need before you close it.
6. Fees
- Subscription. Each organisation is billed on one plan: a base fee of USD 300 per month, which includes 100 sales orders a month, plus a charge for each sales order beyond that. The per-order rate falls as volume grows, and each band is charged at its own rate:
| Sales orders in a billing month | Rate per sales order |
|---|---|
| 1–100 | Included in the base fee |
| 101–500 | USD 0.20 |
| 501–2,000 | USD 0.18 |
| 2,001–10,000 | USD 0.055 |
| 10,001–50,000 | USD 0.03 |
| 50,001 and above | USD 0.015 |
For example, 600 sales orders in a month cost USD 300 + 400 × USD 0.20 + 100 × USD 0.18 = USD 398.
- Push notifications. Push notifications to your organisation's own people on their phones and browsers are included in the plan at no extra charge.
- Card payments from your customers. If you connect your own Stripe account so that your customers can pay invoices and orders by card on the pages Manifold hosts for you, we take an application fee of 1.5% of each such payment, which Stripe deducts from the payment before it reaches your Stripe account. Stripe's own processing fees are charged by Stripe under its terms with you. If a payment is refunded because the order could no longer take it, our fee is refunded with it. Payments your customers make any other way carry no fee from us.
- What counts as a sales order. Every sales order created in your organisation counts, whether entered in the admin, created through the API or by an AI agent, or brought in from a connected Shopify store. An order is counted once it has existed for 24 hours; an order cancelled within 24 hours of being created is not counted. An order counts in the billing month in which its 24 hours end. Editing an order does not count it again, and cancelling it after 24 hours does not remove it from the count.
- Free trial. A new organisation starts with a 60-day free trial, during which neither the base fee nor sales orders are charged. A payment card is required to start the trial. Unless you cancel before the trial ends, the subscription continues and the card is charged from the end of the trial.
- Free period when you install from the Shopify App Store. An organisation created by installing Manifold from the Shopify App Store instead has 30 days free from installing, with no plan approved and no payment card. During that time it runs in read-only mode: you can set it up and use it, but Manifold sends nothing to your store or to any other system. To go live you approve Manifold's plan in your Shopify admin. Approving it starts the plan's 60-day free trial, during which neither the base fee nor sales orders are charged; unless you cancel the plan before the trial ends, Shopify charges the fees from the end of the trial. If no plan is approved within the 30 days, the organisation becomes read-only as described under Non-payment until one is.
- Billing. The base fee is charged monthly in advance; sales orders are charged monthly in arrears, on the invoice for the following month. Payments are processed by Stripe, and your card details are held by Stripe, not by us. Invoices are available under Settings › Billing. If you subscribed by installing Manifold from the Shopify App Store, the same fees are charged by Shopify on your store's Shopify bill instead, under Shopify's billing terms, and you approve, change or cancel the plan in your Shopify admin.
- Taxes. Fees exclude taxes. Where GST or another tax applies (GST applies to Australian customers), it is added to the invoice.
- Price changes. We will give account holders at least 30 days' notice by email or in the admin before a change to the fees takes effect. The new fees apply from the first billing month that starts after the notice period.
- Non-payment. If a payment fails we will retry it and tell you in the admin, and you can keep using the service while we do. If an invoice remains unpaid after the retries, your organisation becomes read-only: you can still sign in, view and export your data, but you cannot make changes until the balance is paid. Your data is not deleted for non-payment except in accordance with section 11.
- Cancellation. You can cancel the subscription at any time under Settings › Billing. It ends at the close of the current billing month, and the sales orders counted in that month are charged on a final invoice. Fees already paid are not refunded, except where the law requires it.
7. Availability and changes to the service
We aim to keep Manifold available at all times but do not guarantee uninterrupted or error-free operation. We may change, add or withdraw features, and will give reasonable notice of a change that removes a capability you rely on. The service depends on third parties (Amazon Web Services, Shopify, Google) whose outages affect it.
8. Intellectual property
Manifold — its software, design, documentation and marks — belongs to us or our licensors. These terms grant you a non-exclusive, non-transferable right to use the service for your business while your account is in good standing, and nothing more. You may not copy, modify or reverse-engineer the service except as the law permits.
9. Warranties and the Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded. To the extent the Australian Consumer Law applies and permits, our liability for a failure to comply with a consumer guarantee in respect of services is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
Subject to that, the service is provided "as is" and we give no other warranty, express or implied, including as to merchantability, fitness for a particular purpose or non-infringement. You are responsible for verifying the figures Manifold produces before relying on them for stock, tax or financial decisions.
10. Limitation of liability
To the fullest extent the law allows:
- we are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data, or business interruption, however arising;
- our total liability to you under or in connection with these terms in any twelve-month period is limited to the greater of the fees you paid us in that period and USD 100;
- we are not liable for loss caused by a third-party service you connect, by an AI agent, by your own or your members' acts, or by data you supplied.
You indemnify us against claims by third parties arising from data you put in Manifold or from your breach of these terms.
11. Termination
You may close your account or an organisation at any time from the admin, or by writing to us. We may suspend or terminate access with notice if you materially breach these terms and do not remedy the breach within 14 days of being told, immediately if the breach threatens the security of the service or other customers, or with 30 days' notice if we discontinue the service. Sections 5, 8, 9, 10 and 12 survive termination.
12. General
- Privacy. Our Privacy Policy forms part of these terms.
- Changes to these terms. We may revise these terms. The "Last updated" date shows when. For a material change we will notify account holders by email or in the admin at least 14 days before it takes effect; continuing to use the service after that is acceptance.
- Notices to us go to hello@getmanifold.io; notices to you go to the email address on your account.
- Governing law. These terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
- Entire agreement; severance. These terms and the Privacy Policy are the whole agreement between us about the service. If a provision is unenforceable it is severed and the rest stands.
- No assignment by you without our consent; we may assign to a successor of the business.
